Terms of Service

1. Who we are and what these terms cover
These terms are an agreement between you and Noir Global LLC ("Ghosts", "we", "us") for using ghosts.sh, the Ghosts dashboard, the devices we provide and our AI agents (together, the "Service"). If you use the Service for a company or agency, you agree on its behalf and confirm you can bind it; "you" then means that organization.
The Service is for businesses and professionals. You must be at least 18 to use it. By creating an account, requesting access or using the Service, you accept these terms.
2. The Service
Ghosts provides dedicated physical phones hosted in the United States, each with its own carrier SIM and mobile data, that you control remotely from a browser, plus a dashboard and optional AI agents that carry out tasks you approve. Access is currently by invitation; joining the waitlist doesn't guarantee access. We may improve, change or retire features over time, and will give reasonable notice before removing anything material you're paying for.
3. Your account and your team
- Keep your login details secure. You're responsible for activity under your account.
- You decide which teammates get access and what each may do. Remove access when someone leaves.
- Tell us promptly at hello@ghosts.sh if you suspect unauthorized access.
- Give us accurate information and keep it up to date.
4. Acceptable use
You're responsible for how you and your team use the Service. You agree to follow all applicable laws, the terms and policies of every app and platform you use on our devices, and our carriers' acceptable-use policies. You agree not to use the Service to:
- send spam or unsolicited bulk messages, or run fraud, scams or deceptive schemes;
- impersonate anyone, or create or operate accounts that mislead people about who is behind them;
- harass, threaten or harm anyone, or post unlawful, infringing or exploitative content;
- break, probe or get around the security, rate limits or integrity systems of any platform or service;
- access accounts or data you're not authorized to access;
- resell or sublicense the Service without our written permission;
- interfere with the Service, our devices, our network or other customers.
We may investigate suspected violations and suspend devices or accounts involved, with notice where practical. Serious or repeated violations are grounds for termination.
5. Your accounts and content
You keep ownership of your social and app accounts, and of the content and data you bring to the Service. You sign in to your accounts on the devices yourself; we never ask for your account passwords. You give us permission to host, transmit and process your content only as needed to run the Service for you. You confirm you have the rights and permissions needed for the accounts and content you use with us, including those of any creator or client you act for.
6. AI agents
Our agents propose a plan for each task and act only after you (or a teammate you authorize) confirm it, within the rules you set. Every step is logged. You're responsible for reviewing plans and for the content and actions you approve. Agents can make mistakes; we don't guarantee that any output or action will be accurate, complete or fit for a particular purpose. You can pause an agent or take over a device live at any time.
7. Devices, SIMs and connectivity
- Devices and SIM cards remain our property. We may repair, swap or replace hardware to keep the Service running.
- Mobile connectivity is provided through third-party carriers and is subject to their networks and policies.
- Phone numbers and lines stay with us and may change; don't rely on a specific number unless we agree otherwise in writing.
- When a device leaves your fleet, we factory reset it, removing apps, accounts and media, before it's assigned to anyone else.
8. Fees and billing
Fees are charged monthly, in advance, per device, at the prices shown on our pricing page or in your order. Your plan follows your device count, and iPhone devices cost more than Android devices. Fleet plans are quoted and run on a 12-month term.
Prices exclude taxes, which you're responsible for. If a payment fails, we may suspend the Service after notice until it's resolved. We'll give at least 30 days' notice of price changes, which apply from your next billing period. Fees aren't refundable for partial months, except where the law requires.
9. Term, cancellation and your data
Monthly plans renew each month until cancelled; cancellation takes effect at the end of the current billing month. Fleet plans run for their agreed term. We may suspend or end the Service if you materially breach these terms. When the Service ends, your devices are factory reset and you'll have 30 days to export your run history and logs before we delete them, unless the law requires us to keep them longer.
10. Availability and support
We work to keep devices powered, connected and healthy, and fix or replace hardware when it fails. The Service may be interrupted for maintenance, carrier outages or events outside our control. Unless an order with you says otherwise, we don't guarantee a specific uptime. Support is available by email, with priority handling on higher plans.
11. Third-party platforms
Apps, social platforms and carriers are run by third parties we don't control. We make no promise about how they treat your accounts, content or reach, including restrictions, suspensions or bans. How you use them is up to you.
12. Security and confidentiality
We keep each team's devices, sessions, agent runs and logs separate from every other customer's, and protect data in transit with TLS. See Security for details. Each of us will keep the other's non-public business information confidential and use it only for this agreement.
13. Disclaimers
Apart from the commitments in these terms, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
14. Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, followers or data. Each party's total liability under these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits don't apply to your payment obligations or your obligations under section 15.
15. Your responsibility for claims
You'll defend and indemnify us against third-party claims arising from your content, your accounts, your use of the Service in breach of these terms or the law, or your breach of a platform's or carrier's terms.
16. Changes to these terms
We may update these terms. For material changes we'll notify you by email or in the dashboard at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated terms.
17. Governing law and disputes
These terms are governed by the laws of the state in which Noir Global LLC is organized, without regard to its conflict-of-laws rules, and disputes will be heard in the courts located there. Before starting a claim, each of us agrees to try to resolve it informally for 30 days by writing to the other.
18. General
These terms, together with any order you sign with us, are the entire agreement about the Service. If any part is found unenforceable, the rest still applies. Not enforcing a provision isn't a waiver of it. You can't transfer this agreement without our consent; we may transfer it as part of a merger, sale or reorganization. Neither of us is liable for delays caused by events beyond reasonable control.
